Terms of Service — Sapri Co., Ltd API Login Connect

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the API Login Connect service (the "Service") provided by Sapri Co., Ltd ("Company", "we", "us"). The Service enables integration of third-party social login providers (for example: Facebook, TikTok, Google, etc.) into your application via our API.

By registering for, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Definitions

  • Account: Your registered account with the Company to access the Service.
  • Developer or you: The individual or entity that registers for and uses the Service.
  • API: The application programming interface endpoints, documentation, SDKs, sample code, and related tooling provided by the Company.
  • Third-Party Provider: Any external authentication provider you may connect to through the Service (e.g., Facebook, TikTok).
  • User Data: Any personal data, profile information, credentials, tokens, or other data obtained from end-users via authentication flows.

3. Account Registration & API Keys

You must create an Account to obtain API keys, client IDs, client secrets, and other credentials ("Credentials"). Keep your Credentials secure and do not share them. You are responsible for all activity that occurs under your Account.

We may suspend or revoke your Credentials for reasons including security concerns, violations of these Terms, or abuse of the Service.

4. Permitted Uses

You may use the API to:

  • Integrate supported Third-Party Providers for authentication and to obtain permitted User Data in accordance with the provider's scope and user consent.
  • Authenticate end-users into your application and link provider accounts where permitted by the provider's policies and user consent.
  • Store and use User Data only as allowed by these Terms and applicable laws.

5. Prohibited Uses

Unless expressly authorized in writing, you must not:

  • Sell, lease, sublicense, or otherwise commercialize access to the API or Credentials to third parties beyond what your account plan permits.
  • Use the API to collect data or perform actions that violate the terms or privacy policies of any Third-Party Provider.
  • Attempt to reverse-engineer, decompile, or otherwise derive the source code of the API or SDKs.
  • Use the API for unlawful purposes, targeted harassment, unauthorized scraping, spam, malware distribution, or to attempt to access another user's account without authorization.
  • Interfere with or circumvent rate limits, billing mechanisms, or security features.

6. Compliance with Third-Party Provider Policies

When you use the Service to connect with Third-Party Providers (e.g., Facebook, TikTok), you agree to comply with each provider's developer policies, platform terms, brand and attribution requirements, and applicable API usage rules. You are solely responsible for ensuring your integration meets those requirements (including maintaining any necessary app registrations with those providers).

7. User Data, Consent & Privacy

You must obtain all necessary consents and provide any required disclosures to end-users when requesting access to their accounts or data through Third-Party Providers. You may only request scopes that are necessary for your application's functionality and must handle User Data in accordance with applicable data protection laws.

We may process, store, and log metadata about API calls to operate and improve the Service. Our separate Privacy Policy explains how we collect and use data.

8. Tokens, Storage & Security

Access tokens, refresh tokens, and other credentials obtained via Third-Party Providers must be stored securely. Do not expose tokens in client-side code or public repositories. If a token or Credential is compromised or you suspect unauthorized use, you must immediately revoke it and notify us.

9. Rate Limits & Fair Use

The Service enforces rate limits and fair use policies. We may throttle, limit, or block requests that exceed permitted usage. Repeated excessive usage may result in temporary or permanent suspension of your access.

10. Monitoring, Logging & Audit

We may monitor and log API usage to ensure security and compliance. We reserve the right to audit your usage and request information to verify compliance with these Terms.

11. Fees & Billing

Some features of the Service may be paid. If you choose a paid plan, you agree to pay fees in accordance with our pricing and billing terms. All fees are non-refundable unless explicitly stated. Failure to pay may result in suspension or termination of the Service.

12. Intellectual Property

All intellectual property rights in the Service, API, documentation, and related materials are owned by the Company or its licensors. These Terms do not grant you any rights to our trademarks, service marks, or other branding except as necessary to operate your integration and only in compliance with our brand guidelines.

13. Modifications to the Service and Terms

We may modify or discontinue the Service (or any part of it) or these Terms at any time. We will provide notice of material changes via email or by posting updated Terms at a prominent location. Continued use after the Effective Date of changes constitutes your acceptance of the modified Terms.

14. Suspension & Termination

We may suspend or terminate your access to the Service, at our discretion and without liability, if you breach these Terms, violate Third-Party Provider policies, or engage in conduct that threatens the security or integrity of the Service. On termination, you must stop using Credentials and delete or return any Company confidential information per our instructions.

15. Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other. Each party agrees to use Confidential Information only for permitted purposes and to protect it with reasonable care. Exceptions include information that is publicly available or independently developed.

16. Warranties & Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING NONINFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100) IF YOU HAVE NOT PAID US.

18. Indemnification

You agree to indemnify, defend and hold harmless the Company and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, breach of these Terms, violation of Third-Party Provider policies, or infringement of any rights.

19. Export & Sanctions

You must comply with applicable export control and economic sanctions laws. You represent that you are not located in, under control of, or a national or resident of any restricted country or on any denied-party lists.

20. Governing Law & Dispute Resolution

These Terms are governed by the laws of Tailand, without regard to conflict of law principles. Any dispute arising out of or related to these Terms will be resolved in the courts located in Tailand, unless the parties agree to arbitration in writing.

21. Miscellaneous

  • These Terms, together with any order forms, policies and pricing documents, constitute the entire agreement between you and the Company regarding the Service.
  • If any provision is unenforceable, the remaining provisions will remain in full force and effect.
  • Neither party may assign these Terms without the other party’s prior written consent, except to a successor in interest in connection with a merger or sale of substantially all assets.
